BAE Systems Announces Agreement to Acquire Fairchild Imaging, Inc.

BAE Systems announced that it has entered into an agreement to acquire Fairchild Imaging, Inc.

ARLINGTON, Virginia, January 21, 2011 - BAE Systems today announced that it has entered into a definitive agreement to acquire Fairchild Imaging, Inc., a privately held company specializing in solid-state electronic imaging components, cameras, and systems for aerospace, industrial, medical, and scientific imaging applications.  BAE Systems currently owns 8.7% of the equity of Fairchild Imaging and, upon completion of the acquisition for a cash consideration of approximately $86 million, will have acquired all of the remaining outstanding equity.

The proposed acquisition of Fairchild Imaging is consistent with BAE Systems' strategy to grow its electronic systems business and will complement existing electro-imaging capabilities, technologies, and product offerings. 

"The addition of Fairchild Imaging's advanced electronic imagery technology will support enhanced night vision capability for both airborne and land forces applications.  It also progresses BAE Systems' focus on providing our customers with higher quality image solutions with lower size, weight, and power characteristics, helping soldiers to complete their missions more safely and effectively," said Linda Hudson, president and CEO of BAE Systems, Inc.

Fairchild Imaging president Charles Arduini stated, "We look forward to becoming part of BAE Systems to further enable Fairchild Imaging to deliver our low-light scientific CMOS (sCMOS) imaging technology for the benefit of the soldier.  The simultaneous low-light, wide dynamic range, high definition video of sCMOS will provide U.S. and NATO forces with the ability to see better than the enemy - in both day and night conditions."

Fairchild Imaging employs approximately 150 people at its facility in Milpitas, California, and upon successful closing of the acquisition, will become part of BAE Systems' Electronic Solutions sector, headquartered in Nashua, New Hampshire.

The proposed acquisition of Fairchild Imaging follows BAE Systems' acquisition of OASYS Technology in 2010. OASYS Technology specializes in the design and manufacture of electro-optical systems and subassemblies for aerospace, defense, industrial and commercial markets.

The acquisition is conditional, among other things, upon receiving certain regulatory approvals and is expected to close in the first half of 2011.

BAE Aquires Fairchild Imaging, Inc

April 4, 2011, ARLINGTON, Virginia – BAE Systems has completed the acquisition of the outstanding equity of privately owned Fairchild Imaging, Inc. The proposed acquisition was announced January 21, 2011.

Fairchild Imaging designs and manufactures solid-state electronic imaging components, cameras, and systems. These components have potential uses across diverse aerospace, industrial, medical, and scientific imaging applications, including night vision systems, thermal imagers, aerial mapping, and missile seekers.

Fairchild Imaging employs approximately 160 people at its facility in Milpitas, California. These operations will now become part of the BAE Systems Electronic Solutions sector headquartered in Nashua, New Hampshire.

“Fairchild Imaging offers advanced electronic imaging technology that will enhance our ability to serve our customers with lower size, weight, and power devices for both airborne and land forces applications,” said Tom Arseneault, president of BAE Systems Electronic Solutions in Nashua.

This acquisition is consistent with BAE Systems' strategy to grow its electronic systems business and builds on the company’s acquisition of OASYS Technology in 2010. By integrating the capabilities of these acquired businesses, BAE Systems will be better positioned to provide new and enhanced solutions for customers.

Fairchild Imaging CIS1021 sCMOS Sensor

Introducing the new 2.1MP format Fairchild Imaging CIS1021 sensor.

Milpitas, CA, August 17, 2011— BAE Systems Imaging Solutions introduces the latest member of the new scientific CMOS (sCMOS) family which has received an immense response from the imaging market. This new sensor has 6.5 micron square pixels in a 1920x1080 format and is based on the same 5T pixel structure previously released in the Fairchild Imaging CIS2051 sensor. It is available in both a monochrome and a color (Bayer pattern) version.
The Fairchild Imaging CIS1021 is specifically designed for low light imaging applications that require an HD sensor format.  Along with its extremely low noise readout and excellent QE, this sensor provides greater than 88dB of intra-scenic dynamic range and produces images at rates up to 100 FPS at full resolution. This unprecedented combination of features makes the CIS1021 ideal for low light scientific imaging applications, fluorescence-based medical diagnostics as well as surveillance and aerial imaging applications.
